Terms of use for downloads, templates, DWG assets and Archicad GSM library parts from noiselevel digital.
Licence terms for downloads from noiselevel digital
These licence terms govern the use of digital products from noiselevel digital, in particular templates, DWG assets, Archicad GSM library parts, PDF files, spreadsheets, text templates, browser tools and other digital downloads.
They apply where these licence terms are brought to the user's attention before purchase or download, can be inspected in a reasonable manner and their application is accepted.
1. Scope and product-specific information
The type and scope of the licence granted are determined by the relevant product description and the information provided at checkout. Product-specific licence information provided before the contract is concluded takes precedence over these general licence terms in the event of discrepancies.
Individually agreed provisions and mandatory statutory provisions remain unaffected.
2. Licensee and permitted users
The licensee is the natural person or legally unified company named as purchaser when the product is acquired. Use is permitted exclusively by the persons covered by the respective licence.
Single-user licence: A single-user licence entitles exactly one natural person to use the product. If a company acquires a single-user licence, the product must be assigned to one individual employee. Alternating or simultaneous use by several persons is not permitted. In the event of a permanent personnel change, the licence may be reassigned within the same company, provided that the previously authorised person no longer has access to the product files.
Office licence 10: Use by up to 10 persons within one legally unified company or office.
Office licence 25: Use by up to 25 persons within one legally unified company or office.
Office licence 50: Use by up to 50 persons within one legally unified company or office.
Enterprise licence for 51 users or more: For more than 50 users, an individual enterprise licence with separately agreed scope is required before use.
The user limit includes all persons who receive access to the product files or are permitted to use the product; use at different times does not increase the permitted number of persons. Authorised persons must belong to the licensed company. Affiliated companies, subsidiaries, joint ventures, external project partners, independent freelancers with their own organisation and other legally independent third parties are not included.
The licence type expressly stated and acquired for the relevant product and at checkout is decisive. Unless a different licence type or number of users is stated there, a single-user licence applies. For products expressly identified as Archicad GSM library parts, Section 3a below also applies.
3. Permitted use
Authorised users may use the product within their own private and commercial projects.
- use in architecture, planning, design, organisation and presentation projects
- editing and adaptation for their own projects
- integration into plans, presentations, PDFs, layouts, submissions and project documentation
- creation of the working copies required for their own project work
- storage of reasonable backup copies
- use by all persons covered by the acquired licence
The licence is non-exclusive and, unless expressly agreed otherwise, cannot be transferred to other persons or companies.
3a. Archicad GSM library parts
For products expressly identified in the product description as Archicad GSM library parts, the permitted users are determined by the acquired single-user, office or enterprise licence. A single-user licence covers exactly one person. An office licence covers no more than the number of persons stated for the relevant licence tier within one legally unified company or office.
The library part may be made available in a shared office, network or BIMcloud library only under an office or enterprise licence. Access must be restricted to the persons covered by the acquired licence. A single-user licence does not permit provision for use by additional persons.
Project-related Archicad files, for example PLN, PLA or MOD files, may be passed to clients, specialist consultants and other project participants for a specific project even if the library part is embedded. The recipient may use the embedded library part only within that specific project. Extraction, use independently of the project, publication, transfer or resale of the library part is not permitted.
Project results derived from Archicad, such as PDF, IFC or BIMx files, may also be passed on for a specific project. The original GSM file may not be supplied separately to third parties or placed in publicly or otherwise unauthorisedly accessible libraries.
4. Modification
Authorised users may edit, modify, combine and adapt the files for their own projects. Modification does not expand the scope of the licence.
Edited or extended versions may not be published, sold or transferred for reuse independently of a project as a standalone template, source file, asset collection or download.
5. Transfer within specific projects
Project-related work results may be passed to clients, principals, specialist consultants, public authorities and other external project participants where this is necessary for a specific project.
In particular, PDFs, printouts, images and other completed or not readily reusable project results may be passed on.
The original download files, blank or reusable templates, editable source files, and files from which the product or substantial product components can be extracted for further use independently of a project may not be passed on.
Editable project-related files may be passed on only where the product-specific licence information expressly permits this. For Archicad GSM library parts, the project-related rule in Section 3a applies. In all other cases, the external recipient requires their own suitable licence.
6. Prohibited use
- resale, sublicensing or any other transfer of the product
- transfer to persons or companies not covered by the acquired licence
- upload to marketplaces, download sites, file-sharing services or publicly or otherwise unauthorisedly accessible cloud libraries
- publication as your own product
- sale or transfer of edited versions as a template or source file
- use as part of your own template, asset, download or software products
- use to create a directly competing template or asset product
- claiming that the product or protected components were created entirely by you
In short: The products may be used and adapted within your own projects. The product files themselves may not be passed on or resold as a template, asset, source file, collection or separate product.
7. Free downloads
These licence terms also apply to free downloads. Unless otherwise stated for the relevant download, a single-user licence applies to the person who made the download. Use by additional persons or in a shared office library is permitted only where a corresponding office or enterprise licence is expressly stated for the product.
Free products may not be distributed as standalone files, sold, published on other platforms or presented as your own product.
8. Copyright and other rights
Rights in the products and their components remain with noiselevel digital or the respective rights holders insofar as those components are protected by copyright or other legal rights.
Purchase or download grants exclusively the usage right described in these terms and the product-specific information. Copyright and other proprietary rights are not transferred.
The licence is non-exclusive. noiselevel digital may continue to use, edit, develop and sell the products and make them available to other licensees.
9. Product scope and independent review
The product description at the time of acquisition determines the owed functional scope and agreed characteristics.
The products are general working aids and do not replace individual professional, legal, tax, commercial or technical advice. Project data, calculations, content and results must be checked for plausibility, completeness and suitability for the intended purpose before use.
This duty of professional review does not exclude statutory rights in respect of defects.
10. Statutory rights in respect of defects
Statutory rights in respect of defects remain unaffected. This applies in particular to statutory rights relating to defective digital products.
Where the legal requirements are met, claims may in particular include subsequent performance, price reduction, termination of the contract, damages or reimbursement of wasted expenditure.
11. Updates and support
Legally required updates necessary to maintain the conformity of a digital product remain unaffected.
Beyond this, there is no entitlement to additional future functionality, voluntary updates, adaptation to new software versions or individual support services unless these are promised in the product description or expressly agreed.
If updates are provided, these licence terms also apply to the updated files unless otherwise stated for the update.
12. Liability
noiselevel digital is liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, and in all cases of mandatory statutory liability.
In the event of a slightly negligent breach of an essential contractual obligation, liability is limited to damage that was foreseeable when the contract was concluded and is typical for this type of contract. Essential contractual obligations are obligations whose fulfilment makes proper performance of the contract possible in the first place and on whose fulfilment the licensee may regularly rely.
In all other respects, liability for slight negligence is excluded to the extent permitted by law.
The above liability provisions also apply in favour of the legal representatives, employees and agents of noiselevel digital. Statutory rights in respect of defects and other mandatory claims remain unaffected.
13. Breaches of the licence terms
Use outside the granted scope is not permitted. In the event of a breach, noiselevel digital may demand cessation of the unauthorised use and, to the extent legally permissible, deletion of product files distributed without authorisation.
Further statutory claims and termination of the usage right in accordance with the statutory requirements remain reserved.
